1. Agreement to These Terms
These Terms and Conditions ("Terms") govern your use of the website sunrisetranscription.com (the "Site") and the medical transcription, virtual scribe, and related documentation services (the "Services") provided by Sunrise Transcription ("we," "us," or "our"), located at 10040 18th Street N, Suite 6 #68692, St. Petersburg, FL 33716. By accessing the Site or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or Services.
2. Description of Services
We provide professional medical transcription, virtual medical scribe, AI-assisted documentation with human review, and related clinical documentation services to healthcare providers and organizations. Specific service scope, turnaround commitments, and pricing are defined in the service agreement or quote provided to each client. Standard turnaround for routine dictation is same day, with expedited (STAT) options available as agreed.
3. HIPAA and Business Associate Agreement
Where our Services involve Protected Health Information (PHI), we act as a business associate under the Health Insurance Portability and Accountability Act (HIPAA). A Business Associate Agreement (BAA) will be executed with each client before any PHI is exchanged. In the event of a conflict between these Terms and an executed BAA regarding the handling of PHI, the BAA controls.
4. Client Responsibilities
Clients agree to: (a) provide accurate account, billing, and contact information; (b) obtain any patient consents required for their chosen workflows (for example, ambient audio capture); (c) use the Services only for lawful purposes related to legitimate healthcare documentation; (d) review completed documents before signing or relying on them clinically, as the signing clinician remains responsible for the final medical record; and (e) safeguard their account credentials.
5. Fees and Payment
Services are billed as described in your quote or service agreement — typically on a per-line basis with no setup fees, monthly minimums, or long-term contracts unless otherwise agreed in writing. Invoices are issued monthly and are due upon the terms stated on the invoice. We reserve the right to suspend Services for accounts with overdue balances after reasonable notice. Applicable taxes are the client's responsibility.
6. Free Trial
We may offer a free trial so prospective clients can evaluate quality and turnaround using their own dictation. Trials are limited to a reasonable evaluation volume determined by us, carry no payment obligation, and are covered by a BAA where PHI is involved.
7. Intellectual Property
The Site and its content (text, design, graphics, and logos) are our property or licensed to us and are protected by applicable intellectual property laws. Completed transcripts and documents produced from a client's dictation belong to the client upon payment. Clients may not resell or white-label our Services without written permission.
8. Confidentiality and Security
We maintain administrative, technical, and physical safeguards designed to protect client information, including encryption of data in transit and at rest, role-restricted access, staff confidentiality agreements, and audit logging, as further described in our security documentation and the applicable BAA.
9. Disclaimers
The Site and Services are provided on an "as is" and "as available" basis. While we maintain rigorous quality assurance processes, transcription and documentation services support — and do not replace — the professional judgment of licensed clinicians. Nothing on this Site constitutes medical, legal, or professional advice. To the fullest extent permitted by law, we disclaim all warranties not expressly stated in a written service agreement.
10. Limitation of Liability
To the maximum extent permitted by law, our total liability arising out of or related to the Services shall not exceed the amounts paid by the client for the Services giving rise to the claim during the three (3) months preceding the event. We shall not be liable for indirect, incidental, consequential, or punitive damages. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
11. Termination
Unless otherwise agreed in writing, Services are month to month and either party may terminate with written notice as described in our Fulfillment, Refund & Cancellation Policy. Upon termination, outstanding fees for work performed become due, and we will cooperate in the secure return or destruction of client data as required by the BAA.
12. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Pinellas County, Florida, unless otherwise required by law.
13. Changes to These Terms
We may update these Terms from time to time. The "Effective date" above reflects the latest revision. Continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
